These Terms & Conditions ("Terms") govern your use of the Academia website and any product, licence, or subscription you purchase from us. By using our services or buying our products, you agree to these Terms.

1. Products and licences

Academia sells software products (one-off licences and subscriptions). Each licence is issued to the individual named on the purchase and may not be transferred, resold, or shared. Licences are single-user and bound to your account.

Subscriptions include ongoing updates and support for as long as the subscription remains active. One-off purchases include the version delivered at the time of purchase and do not include future updates.

2. All sales are final

All sales are final. Because our products are delivered digitally and made available immediately at the time of purchase, we do not offer refunds, returns, or exchanges. By completing a purchase, you acknowledge and agree that:

• You have reviewed the product description, features, and pricing before purchase.
• You waive any right to a cooling-off period once access has been provided.
• Change of mind, incompatibility with your hardware, or failure to read the system requirements are not grounds for a refund.

Nothing in this section limits any non-excludable rights you may have under applicable consumer law (for example, where a product is not of acceptable quality). Contact us if you believe your purchase is faulty and we'll work with you in good faith.

3. Subscriptions and cancellations

Subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time from your account page; cancellation takes effect at the end of the current paid period, and no partial refunds are issued for the remaining time. You keep access to the software and updates until the end of your paid period.

4. Delivery

Digital access is granted immediately after payment, via your account and by email. It is your responsibility to keep your own backups of any files you upload or export.

5. Acceptable use

You agree not to:

• Copy, distribute, sublicense, resell, or share your licence or account access.
• Reverse engineer, decompile, or modify the software except as expressly permitted by law.
• Use the software for anything illegal or to harm others.
• Bypass or attempt to disable licensing, security, or usage limits.

Breach of these rules may result in immediate termination of your licence without refund.

6. Limitation of liability

To the maximum extent permitted by law, Academia is not liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our products or website, including but not limited to:

• Loss of data, files, or work product.
• Loss of profits, revenue, or business opportunity.
• Hardware damage, system instability, or downtime.
• Any actions taken by the software (including AI-generated content, automated actions, or third-party integrations) whether authorised by you or not.
• Any interruption, error, defect, or delay in operation.

You use our products at your own risk. Our total aggregate liability, where liability cannot be excluded, is limited to the amount you paid for the specific product or subscription in the 12 months preceding the claim.

7. AI-generated content

Academia includes AI features that generate text, images, actions, and other output. AI output may be inaccurate, incomplete, or unsuitable for your purpose. You are solely responsible for reviewing AI output before relying on it or acting on it, and for ensuring any use complies with applicable law.

8. Intellectual property

All software, branding, and website content is owned by Academia or its licensors. Your licence grants you the right to use the software as described, but no ownership or intellectual property rights are transferred to you.

9. Warranty disclaimer

Our products are provided "as is" and "as available" without warranties of any kind, express or implied, other than those that cannot be excluded under applicable law. We do not warrant that the software will be error-free, uninterrupted, or meet your specific requirements.

10. Pricing and currency

All prices are shown in Australian Dollars (AUD) unless otherwise stated. We may change pricing for new orders or renewals at any time; existing paid periods will not be affected.

11. Termination

We may suspend or terminate your account and licences if you breach these Terms. On termination, your right to use our products ends immediately.

12. Governing law

These Terms are governed by the laws of Australia. Any disputes will be resolved in the courts of Australia.

13. Changes to these Terms

We may update these Terms from time to time. Continued use of our website or products after changes means you accept the updated Terms.

14. Third-party integrations

Academia offers optional integrations with third-party services, including Google (sign-in and Google Drive). Connecting a third-party account is entirely your choice. When you connect Google Drive, we access only the files you explicitly select for import and the "Academia" folder the app creates in your Drive for copies of your uploads, as described in our Privacy Policy. Your use of any third-party service is also governed by that provider's own terms and privacy policy, and we are not responsible for third-party services, their availability, or their actions.

You may disconnect a third-party integration at any time from Settings, which revokes our access going forward.

15. Privacy

Your use of Academia is also governed by our Privacy Policy, which explains what information we collect, how we use and protect it, and the choices you have — including how Google user data is handled under Google's Limited Use requirements.
